VAMED Compliance-System

As a reflection of the corporate culture of the VAMED group, it is appropriate to subscribe to the observance of a certain minimum of ethical standards regarding not only the interaction with the own staff, but also with customers, suppliers and other business partners.
VAMED Code of Conduct
To ensure this high standard, a group-wide „Compliance-System“ has been established which should secure the adherence to the commitments stipulated in the mission statement of VAMED and especially in the VAMED Code of Conduct.
An important part of this Compliance-System is the Code of Conduct implemented in the VAMED Group. The VAMED Code of Conduct constitutes a guideline for the compliance with the ethical principles and the legal obligations which VAMED AG and its subsidiaries have committed to observe in its business activities.
In addition to the codification of the rules of conduct in the VAMED Code of Conduct, VAMED has established a Corporate Compliance Office which is responsible for the training of VAMED´s staff and the preparation and monitoring of detailed guidelines for the further development of the compliance policies.
The VAMED Corporate Compliance Office is composed of a Chief Compliance Officer and four Business Unit Compliance Officers (one for each leading company). The Chief Compliance Officer is appointed by the Board of VAMED AG and only reports to the responsible member of the Board of VAMED AG. In his function he is not bound to any instructions of his disciplinary superiors.
Upon recommendation of the Chief Compliance Officer, the management of each of the four leading companies of the VAMED group appoints a Business Unit Compliance Officer which only reports to the Chief Compliance Officer and is not bound to any instructions of his disciplinary superiors.
This organisation guarantees a continuous, independent and group-wide possibility of the Corporate Compliance Office to supervise and control the compliance with the Code of Conduct within the VAMED group. Additionally the Corporate Compliance Office regularly reports to the Board of VAMED AG about the ongoing development of the established "Compliance-System", eventual infringements of the Code of Conduct and the measures undertaken as a result of such infringements.
The VAMED Corporate Compliance Office also serves as information platform for the employees of the VAMED group, who are required to observe the stipulations of the Code of Conduct.
